1. About these terms

These Terms of Service govern quotations, sample orders and wholesale purchases of products supplied by Shanghai Wusuo Intelligent Technology Co., Ltd.. By placing an order you accept these terms. Where a signed sales contract or Proforma Invoice (PI) exists, that document prevails over this page.

2. Quotations

• Quotations are valid for 30 days unless stated otherwise, and are subject to stock and to raw-material price changes.
• Prices are quoted in USD on FOB or CIF terms, exclusive of import duties and taxes in the destination country.

3. Minimum order quantity

MOQ is 1,000 pcs for most models and can be negotiated for some models. Sample orders of one unit are available for evaluation.

4. Orders and payment

Bank charges are borne by the payer. Where a payment is disputed or reversed through PayPal or a bank, the parties will first attempt to resolve the matter directly with us. Title to the goods remains with us until payment is received in full, and we may suspend shipment or further deliveries while an agreed payment is overdue or a payment dispute is unresolved.

5. Lead time

Lead time runs from receipt of the deposit and confirmation of artwork and specifications. We will inform you promptly of any delay; delays caused by force majeure do not entitle either party to compensation.

6. OEM / ODM

• Customisation of logo, packaging, colour and firmware is available.
• The buyer warrants that it owns or is licensed to use any trademark, logo or design it supplies, and indemnifies us against third-party claims arising from it.
• We keep buyer-supplied designs confidential and do not disclose or sell them to third parties.

7. Warranty, claims and liability

• 12-month warranty against manufacturing defects, counted from the date of arrival at the destination port or 15 months from the date of shipment, whichever occurs first.
• Claims must be reported with photos or video evidence; verified defects are settled by replacement units or spare parts.

Nothing in these Terms excludes or limits our liability for (a) death or personal injury caused by our negligence, (b) fraud or fraudulent misrepresentation, (c) wilful misconduct or gross negligence, or (d) any liability that cannot lawfully be excluded or limited.

Subject to the paragraph above, our total aggregate liability for any order is limited to the invoice value of the affected goods, and we are not liable for indirect or consequential loss, including loss of profit, loss of production or loss of contracts.

8. Intellectual property

RIGHTEST is a trade mark used by Shanghai Wusuo Intelligent Technology Co., Ltd. in connection with the products offered on this website. We do not claim that it is a registered trade mark in the People’s Republic of China or in any other jurisdiction. The design, text and layout of this website, and the product photographs we have produced, are our property or used with permission; photographs of third-party products are used with the permission of the respective manufacturers. Nothing on this website grants a licence to use our trade marks, content or images without our prior written consent. All other product names and trade marks mentioned on this website remain the property of their respective owners and are used for identification purposes only.

9. Force majeure

Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural disasters, epidemics, war, government action, port closures and transport disruptions.

10. Governing law and disputes

These Terms are governed by the laws of the People’s Republic of China, and the United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. The parties will first attempt to resolve any dispute through friendly negotiation. Failing that, the dispute will be submitted to the competent court in Shanghai, unless the sales contract provides otherwise (for example, arbitration in Shanghai under SHIAC or CIETAC rules, conducted in English).

11. Changes

We may update these Terms. We will publish the updated version on this page with a new “last updated” date and, for material changes, give customers with an active order at least 15 days’ notice by email. In all cases an order is governed by the version in force when the order (or Proforma Invoice) was confirmed.

12. General

• Severability: if any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force.
• Entire agreement: these Terms, together with the applicable quotation, Proforma Invoice and signed sales contract, constitute the entire agreement between the parties and supersede prior discussions. In case of conflict, the signed sales contract prevails, then the Proforma Invoice, then these Terms.
• Assignment: neither party may assign its rights or obligations without the other party’s prior written consent, except to an affiliate or in connection with a merger or sale of assets.
• No agency: nothing in these Terms creates an agency, partnership or exclusive distributorship. The buyer acts as an independent purchaser unless we appoint it in writing as a distributor.
• Website content: product information, photographs and prices on this website are for information only and do not constitute a binding offer. Specifications may be changed or improved without notice.
• Compliance: each party complies with applicable anti-bribery, export-control and sanctions laws. The buyer confirms that it will not resell the goods to sanctioned countries or end users and is responsible for compliance in its destination market.
• Language: these Terms are concluded in English; any translation is for convenience only and the English version prevails.
